TERMS AND CONDITIONS

1. Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of the websites, applications, portals, and related services (collectively, the “Junxion Sites and JunxionApps”) operated by Junxion Med Staffing, LLC (“Junxion,” “we,” “our,” or “us”).

The Terms take effect immediately upon:

Your access to or use of the Junxion Sites and JunxionApps after the Terms are posted; or

The effective date of any separate agreement incorporating these Terms.

By accessing or using the Junxion Sites or JunxionApps, you agree to be bound by these Terms.

2. Term and Termination

The Junxion Sites and JunxionApps are provided as a convenience to assist Junxion in conducting its business. Junxion reserves the right to modify, change, suspend, or discontinue the Junxion Sites and JunxionApps, or your access to them, at any time with or without notice. Junxion shall not be liable for damages in connection with such actions.

Junxion reserves the right to modify these Terms and our Privacy Policy at any time upon reasonable notice. Modified Terms will be posted with an effective date at least ten (10) days after posting. Continued use after the effective date constitutes acceptance.

You may terminate these Terms at any time by ceasing use of the Junxion Sites and JunxionApps and, if applicable, notifying Junxion to close your account.

Provisions that by their nature should survive termination shall survive, including but not limited to arbitration, limitation of liability, and indemnification.

3. User Representations

You represent and warrant that:

All information submitted is true, accurate, and complete.

You are legally authorized to work in the applicable jurisdiction if seeking employment.

Your use complies with all federal, state, and local laws.

You will not use the Junxion Sites for unlawful or fraudulent purposes.

Junxion may suspend or terminate accounts containing false or misleading information.

4. No Guarantee of Employment

Junxion does not guarantee job placement, assignment, employment, compensation, or continued employment through use of the Junxion Sites or JunxionApps. Opportunities are subject to availability, credential verification, client approval, background checks, and contractual requirements.

5. Intellectual Property

All content, trademarks, service marks, logos, text, graphics, software, and materials on the Junxion Sites and JunxionApps are owned by Junxion or its licensors and are protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without prior written consent.

6. Privacy

Your submission of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Electronic Communications

By using the Junxion Sites or JunxionApps, you consent to receive electronic communications from Junxion, including notices, disclosures, agreements, and other communications. You agree that such communications satisfy any legal requirement that they be in writing.

8. Text Messaging (SMS) Terms

If you opt in to receive text messages from Junxion, you expressly consent to receive recurring automated and non-automated text messages from Junxion Med Staffing and its affiliates regarding:

Employment opportunities

Assignments and placements

Credentialing and compliance reminders

Scheduling and shift information

Payroll or employment-related updates

Message frequency may vary.

Message and data rates may apply.

Consent to receive text messages is not a condition of employment.

You may opt out at any time by replying STOP to any text message. After you send STOP, you may receive a confirmation message. For assistance, reply HELP or contact us at questions@junxionmedstaffing.com.

Carriers are not liable for delayed or undelivered messages.

Junxion does not sell or share SMS opt-in data with third parties for marketing purposes.

9. Disclaimer of Warranties

THE JUNXION SITES AND JUNXIONAPPS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, JUNXION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

JUNXION DOES NOT WARRANT THAT THE SITES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JUNXION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

IN NO EVENT SHALL JUNXION’S TOTAL LIABILITY EXCEED ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Junxion and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including attorneys’ fees) arising from:

Your use of the Junxion Sites;

Your violation of these Terms;

Your submitted information;

Your violation of any law or third-party rights.

12. Dispute Resolution and Arbitration

Except for claims eligible for small claims court, any dispute arising out of or relating to these Terms or the Junxion Sites shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Arbitration shall take place in Dallas County, Texas.

You and Junxion agree that:

Arbitration shall be conducted on an individual basis only;

Class actions, collective actions, and representative actions are waived;

You waive any right to participate in a class action lawsuit or class-wide arbitration.

Either party may seek temporary injunctive relief in court to prevent irreparable harm.

Judgment on the arbitration award may be entered in any court with jurisdiction.

13. Notices

All required notices to Junxion must be in writing and sent to:

Junxion may provide notice to you via posting on the Sites or by contacting you at your last known email or mailing address.

14. Force Majeure

Junxion shall not be liable for delays or failures resulting from causes beyond its reasonable control, including natural disasters, labor disputes, governmental actions, cyberattacks, telecommunications failures, or power outages.

15. Miscellaneous

These Terms shall be governed by the laws of the State of Texas, without regard to conflict of law principles.

If any provision is held invalid, the remaining provisions shall remain in full force.

No joint venture, partnership, employment, or agency relationship exists between you and Junxion by virtue of these Terms.

You may not assign your rights or obligations without Junxion’s written consent.

These Terms constitute the entire agreement between you and Junxion regarding use of the Sites and supersede all prior communications.
